These Terms of Service (the "Terms") are a binding agreement between ARC ("ARC", "we", "us"), the operator of the ARC business platform available at witharc.app and on the ARC mobile applications (together, the "Service"), and the business subscribing to the Service (the "Customer", "you"). By creating an ARC account, ticking the acceptance box at signup, or using the Service, you agree to these Terms.
1. Who may use ARC
- ARC is a business tool. You may only use it for commercial, professional, or organisational purposes — not as a consumer service.
- The person opening the account must be at least 18 years old and legally able to bind the business they register (owner, partner, or authorised manager under Lebanese law).
- You are responsible for every user you invite into your workspace (staff accounts, cashiers, accountants) and for what they do in it.
2. Your account and workspace
- Each subscription creates a separate, isolated workspace (a "tenant") for your business. Your data is stored in your own database schema, separated from other customers.
- You must keep login credentials confidential and use strong passwords. Tell us immediately at arc7solutions@gmail.com if you suspect unauthorised access.
- Information you provide at signup (business name, contact details) must be accurate and kept up to date.
3. Subscription plans and billing
- The Service is offered on subscription plans (monthly or annual) priced in US Dollars. Current plans and prices are published at witharc.app/pricing; bespoke plans may be agreed in writing.
- Fees are payable in advance for each billing period, by the payment methods we make available (card, Whish Money, or bank transfer).
- Prices exclude any applicable taxes, which are your responsibility where the law places them on you. Where Lebanese VAT applies, it is added at the prevailing rate.
- We may change plan prices with at least 30 days' notice; changes take effect at your next renewal. If you do not agree, you may cancel before the renewal.
- If a payment is more than 14 days overdue after notice, we may suspend the workspace until payment is made; your data is not deleted by a suspension.
4. Refunds, cancellation and termination
- Refunds are governed by our Refund Policy, which forms part of these Terms.
- You may cancel at any time from your workspace or by writing to us; cancellation takes effect at the end of the paid period.
- We may suspend or terminate a workspace for material breach of these Terms or the Acceptable Use Policy, for unlawful activity, or for non-payment as described above. Where practical, we will warn you and give you a chance to fix the problem first.
- After termination, your data is handled per the Data Retention Policy: you may export your data beforehand, and we keep a recoverable copy for 30 days before permanent deletion (except records we must keep by law).
5. Your data
- You own your data. Everything you and your staff enter into ARC — products, sales, customers, suppliers, accounting records, files — remains yours.
- You grant ARC a limited licence to host, process, back up and display that data solely to provide the Service, as described in the Privacy Policy and the Data Processing Agreement.
- Where you store personal data about your own customers in ARC (names, phone numbers, balances), you are the data controller and must have the right to store it; ARC acts as processor under the Data Processing Agreement.
- You can export your data in standard formats (CSV/Excel/PDF) at any time while your subscription is active.
6. ARC's software and intellectual property
- The Service — software, design, logos, documentation, and everything that is not your data — is and remains the exclusive property of ARC.
- You receive a non-exclusive, non-transferable right to use the Service for your business during the subscription. You may not copy, resell, sublicense, or reverse engineer it (see the Acceptable Use Policy).
- Feedback and suggestions you send us may be used to improve the Service without obligation to you.
7. WhatsApp features
- ARC can send documents (invoices, purchase orders, receipts) through WhatsApp using a number you connect. WhatsApp is a service of Meta Platforms; your use of it is also governed by WhatsApp's own terms, and message content transits Meta's infrastructure.
- You are responsible for having your customers' consent to receive messages, and for what you send. Bulk unsolicited messaging is prohibited (see Acceptable Use Policy).
- ARC does not control WhatsApp and is not liable for WhatsApp outages, delivery failures, or actions Meta takes against your number.
8. AI features
- The ARC AI Guide answers questions about your business data and, on eligible plans, can propose creating records — proposals always require your explicit confirmation before anything is saved.
- AI output can be wrong. It is provided for convenience and is not accounting, legal, or tax advice. Verify important figures against your records before acting on them.
- AI requests are processed by our AI provider (Anthropic) as described in the Privacy Policy. Payroll data is never sent to the AI.
9. Availability and support
Service availability targets, support hours, and response times are described in the Service Level Agreement. The Service is provided "as is" beyond the commitments expressly made there.
10. Limitation of liability
- To the maximum extent permitted by Lebanese law, ARC's total aggregate liability arising out of or related to the Service is limited to the fees you paid in the 12 months preceding the event giving rise to the claim.
- Neither party is liable for indirect or consequential damages — lost profits, lost revenue, loss of goodwill — except in cases of fraud, gross negligence (faute lourde), or wilful misconduct, for which liability cannot be excluded under the Lebanese Code of Obligations and Contracts.
- You remain responsible for complying with the laws that apply to your business (tax filings, consumer protection, employment); ARC is a tool, not a substitute for professional advice.
11. Indemnity
You will indemnify ARC against third-party claims arising from your data, your use of the Service in breach of these Terms, or your violation of applicable law (including messaging without consent).
12. Changes to these Terms
We may update these Terms. For material changes we will notify you (email or in-app) at least 15 days before they take effect and ask you to accept the new version; continued use after the effective date constitutes acceptance. Each version is numbered and dated, and previous versions are retained.
13. Governing law and jurisdiction
These Terms are governed by the laws of the Lebanese Republic, including the Code of Obligations and Contracts and Law No. 81 of 2018 on Electronic Transactions and Personal Data. Any dispute that cannot be resolved amicably falls under the exclusive jurisdiction of the competent courts of Beirut, Lebanon.
14. General
- If a provision of these Terms is held invalid, the rest remains in force.
- These Terms, together with the policies they reference (Privacy, Refund, Acceptable Use, SLA, DPA, Cookie, Security, Data Retention), are the entire agreement between us regarding the Service.
- You may not assign this agreement without our consent; we may assign it in connection with a merger or sale of the business, with notice to you.
